Terms and Conditions

Introduction

These Terms & Conditions (“Terms”) govern the use of services provided by Hypersoft Solution, including custom web application development, system integration, migration services, IoT integration, and Software as a Service (SaaS) products offered on a subscription basis. By engaging with our services or subscribing to our products, you agree to comply with these Terms.

Services Provided

• Custom Web Applications: Tailored solutions designed to meet specific business needs.
• Integration Services: Connecting third party systems and applications for seamless workflows.
• Migration Services: Secure transfer of data, applications, or infrastructure to new environments.
• IoT Integration: Machine to Machine (M2M) solutions enabling automation and digital transformation.
• SaaS Products: Subscription based software solutions billed monthly.

User Responsibilities

• Provide accurate and complete information when engaging our services.
• Ensure compliance with applicable laws when using our solutions.
• Maintain confidentiality of login credentials for SaaS products.
• Avoid misuse of services, including unauthorized access or reverse engineering.

Fees & Payment

• Custom projects (applications, integration, migration, IoT) are billed according to agreed contracts.
• Payments must be made on time; late payments may result in suspension of services.
• All fees are non refundable unless otherwise stated in writing.

SaaS Billing & Subscription

• SaaS services are offered on a subscription basis, with options for monthly or yearly billing.
• Monthly subscriptions are billed at the start of each billing cycle.
• Yearly subscriptions are billed upfront for the full year and may include discounted rates compared to monthly plans.
• Subscriptions automatically renew unless cancelled prior to the next billing cycle.
• Clients are responsible for ensuring timely payment to avoid suspension of services.

Intellectual Property

• Hypersoft Solution retains ownership of all proprietary software, frameworks, and methodologies.
• Clients retain ownership of their data and content provided for projects.
• Deliverables may include licensed third party components; clients must comply with relevant license terms.

Service Availability & Support

• SaaS products are provided on an “as is” basis with reasonable uptime commitments.
• Friendly support is available to assist with technical issues and inquiries.
• Scheduled maintenance may cause temporary downtime, with prior notice given when possible.

Limitation of Liability

• Hypersoft Solution is not liable for indirect, incidental, or consequential damages arising from the use of our services.
• Maximum liability is limited to the fees paid by the client for the specific service in question.

Termination

• Clients may terminate SaaS subscriptions with written notice before the next billing cycle.
• Hypersoft Solution reserves the right to suspend or terminate services for non payment, misuse, or breach of these Terms.

Privacy & Data Protection

• Client data is handled with strict confidentiality and in compliance with applicable data protection laws.
• Hypersoft Solution does not share client data with third parties except as required to deliver services or by law.

Governing Law

• These Terms are governed by the laws of Malaysia. Any disputes shall be resolved in the courts of Selangor, Malaysia.

Changes to Terms

• Hypersoft Solution may update these Terms from time to time. Clients will be notified of significant changes, and continued use of services constitutes acceptance of the updated Terms.
